Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Soundbite Pro ("we," "our," or "us") governing your access to and use of the Soundbite Pro platform and related services (collectively, the "Service").

By creating an account, clicking "Sign Up," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use the Service.

To use the Service, you must:

• Be at least 16 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher).
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Service under applicable law.

If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3.1 Account Creation

You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your Soundbite Pro account.
• Enable two-factor authentication (2FA) where possible.
• Notify us immediately at support@soundbitepro.com if you suspect unauthorized access to your account.
• Not share your account credentials with any third party.

We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Email Verification

You must verify your email address to access certain features. Accounts with unverified email addresses may have limited functionality.

4.1 Description

Soundbite Pro is an AI-powered communication and public speaking training platform. The Service enables users to conduct interactive voice-based training sessions with AI-generated trainers, receive automated performance feedback and scoring, track progress over time, and access AI-generated coaching reports.

4.2 AI-Generated Content

The training sessions, feedback reports, performance scores, coaching tips, and AI trainer personas are generated using artificial intelligence, including the OpenAI Realtime API. You acknowledge that:

• AI-generated feedback is for educational and self-improvement purposes only and does not constitute professional coaching, psychological, medical, or career advice.
• AI outputs may occasionally be inaccurate, incomplete, or inconsistent. You should apply your own judgment when acting on any feedback.
• We do not guarantee any specific outcome or improvement in communication skills as a result of using the Service.

4.3 Session Recording

By starting a training session, you expressly consent to the recording of your audio and video for the purpose of generating AI feedback and allowing you to review your own performance. Recordings are stored securely and accessible only to you (and your team owner, in team accounts). You may request deletion of your recordings at any time (see our Privacy Policy).

4.4 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience downtime outside of our control. We are not liable for any loss or inconvenience caused by Service interruptions.

5.1 Plan Types

Soundbite Pro offers the following plan tiers:

• Free Plan: Provides a limited number of training sessions per month with basic features. No credit card required.
• Pro Plan: Provides an increased session limit per billing period, longer maximum session durations, and access to detailed feedback reports and analytics. Billed monthly or annually.
• Team Plan: Includes all Pro features plus team management capabilities, team member invitations, per-member session tracking, and custom session limits. Pricing is determined at the time of account setup.

5.2 Billing and Payment

• Paid subscriptions are billed in advance on a recurring monthly or annual basis.
• All payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for applicable fees.
• Subscription fees are non-refundable except as required by applicable law.
• Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.

5.3 Session Limits

Your plan determines how many training sessions you may conduct per billing period. Session limits reset at the start of each billing period. Unused sessions do not roll over.

5.4 Cancellation

You may cancel your subscription at any time through your account's subscription settings or the Stripe billing portal. Upon cancellation, your paid plan will remain active until the end of the current billing period, after which your account will revert to the Free plan. Cancellation does not entitle you to a pro-rated refund for the current billing period.

5.5 Failed Payments

If a payment fails, we will notify you via email. If payment remains outstanding after the grace period, your account may be downgraded or suspended until the balance is resolved.

5.6 Tax

Prices displayed may be exclusive of applicable taxes (such as VAT or sales tax). You are responsible for all taxes applicable to your subscription under the laws of your jurisdiction.

6.1 Team Owners

Team owners are responsible for managing their team, including inviting members, setting session limits, and maintaining an active subscription. The team owner's subscription governs access for all team members.

6.2 Team Members

Team members access the Service under the team owner's subscription. Team owners may view team members' session data and performance metrics. Team owners may block or remove team members at any time.

6.3 Invitations

Team invitations are valid for 7 days. Invitations sent to email addresses not associated with an existing account will result in an automatically created account with a temporary password sent to the invitee. The invitee is responsible for securing their account upon receipt.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to upload, transmit, or generate content that is illegal, defamatory, obscene, threatening, or otherwise objectionable.
• Attempt to reverse engineer, decompile, or otherwise access the source code or AI models underlying the Service.
• Use automated tools, bots, or scripts to interact with the Service in ways not intended for human users.
• Attempt to circumvent session limits, subscription restrictions, or any other access controls.
• Share your account or session access with other individuals who are not authorized users under your plan.
• Use the Service in a manner that could harm, disable, overburden, or impair our infrastructure.
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
• Collect or harvest any personal information of other users of the Service.

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section.

8.1 Our Property

The Service, including its design, software, AI models, interfaces, branding, and all related intellectual property, is owned by or licensed to Soundbite Pro and is protected by copyright, trademark, and other applicable laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our express written permission.

8.2 Your Content

You retain ownership of any content you submit to the Service, including recordings of your sessions and information in your profile ("Your Content"). By submitting Your Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to store, process, and use Your Content solely for the purpose of operating and improving the Service for your account.

We do not claim ownership of Your Content. We do not use your personal session recordings or transcripts to train third-party AI systems or make them available to other users.

8.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an irrevocable, royalty-free right to use that feedback for any purpose, including improving the Service, without any obligation to you.

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

AI-GENERATED FEEDBACK, SCORES, AND RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL AND SELF-IMPROVEMENT PURPOSES ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL COACHING, PSYCHOLOGICAL, MEDICAL, LEGAL, CAREER, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUNDBITE PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN ANY CASE, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Soundbite Pro and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13.1 Termination by You

You may close your account at any time by contacting us at support@soundbitepro.com. Closing your account will cancel any active subscription (effective at the end of the current billing period) and initiate deletion of your personal data in accordance with our Privacy Policy.

13.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, including if we reasonably believe you have violated these Terms or engaged in fraudulent activity. Upon termination, your right to access the Service immediately ceases.

13.3 Survival

Sections 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) shall survive termination of these Terms.

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or via a prominent notice within the Service.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

You and Soundbite Pro each agree to resolve disputes only on an individual basis and not as part of any class, consolidated, or representative action.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Soundbite Pro regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
